BatchBlue Software Summer Vacation Contest Official Rules and Regulations

1. No Purchase Necessary

Contest ("Contest") open to all legal residents of the United States and the District of Columbia, age 18 years or older as of August 24th, 2009, except employees (and their immediate families and household members) of BatchBlue Software (the "Sponsor") and its parents, subsidiaries, divisions, trustees, franchisees, participating vendors, distributors, advertising and promotion agencies and affiliated entities (collectively, the "Contest Entities"). Void in Florida, Puerto Rico, Guam, The U.S. Virgin Islands and wherever taxed, prohibited or restricted by law. Contest is governed by U.S. law and subject to all applicable federal, state and local laws and regulations. By entering the Contest, entrants agree to accept and be bound by all terms of these Official Rules and Regulations ("Official Rules").

2. How to Enter

From August 24th, 2009 through September 4th, 2009 (the "Promotional Period"), Sponsor will conduct a Contest encouraging participants to enter for a chance to win a prize. To enter the Contest, participants must log on to the Sponsor’s website, located at www.batchblue.com/summervacation and complete an entry form providing certain information about the participant. All entry forms submitted during the Promotional Period will be considered an entry and eligible for the Contest (each, an “Entry”). To be eligible for monthly prizes, all Entries must be sent no later than 11:59 p.m. (ET) on the last day of the Promotional Period. The Sponsor is not responsible for misdirected, incomplete, lost, or late Entries, technical, hardware, or software failures, whether human, mechanical, typographical, electronic or otherwise, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person's ability to participate in the Contest. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond the Sponsor's control, which corrupt the integrity, administration, security or proper operation of the Contest, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Contest. In the event of cancellation, Sponsor reserves the right to award prizes from among all eligible, non-suspect Entries received prior to the event requiring such cancellation. False or deceptive Entries or acts will render the entrant ineligible. Entries deemed to be offensive, illegal or violate the rights, harm, or threaten the safety of any person, in the sole discretion of the Sponsor, are not eligible for a prize. Employees of Sponsor, subsidiaries, affiliated companies, advertising agencies, legal advisors, and agents and the immediate family members (defined as parents, spouse, children, siblings, grandparents) of each, and all those with whom such employees are domiciled, are NOT eligible.

3. How to Win

One winner (1) ("Winner") will be The decisions of the judges will be final and binding. The Winners will be notified by e-mail on or about September 4th, 2009.

4. Prizes

The following prizes will be awarded: TOTAL APPROXIMATE RETAIL VALUE OF ALL PRIZES - (Three (3) PRIZES): $550.00. No substitution or transfer of prizes or cash redemptions permitted by the Winners. Sponsor reserves the right to substitute any prize(s) of like value for any reason whatsoever. Winners are responsible for the reporting and payment of all taxes (if any).

5. General Rules and Regulations

By claiming the prize, Winners authorize the use, without additional compensation of his or her name and/or likeness and/or voice/photograph and municipality of residence for promotion and/or advertising purposes in any manner and in any medium (including without limitation, radio broadcasts, newspapers and other publications and in television or film releases, slides, videotape, distribution over the internet and picture date storage) which Sponsor may deem appropriate. Each Winner may be required to sign, without limitation, an affidavit of eligibility, a liability release, a tax acknowledgment form and, except where prohibited by law, a use of name and likeness releases and return within five (5) days of issuance of notification. Noncompliance within this time period, or failure of the potential winner to respond to a notification attempt within five (5) days of such attempt, may result in disqualification. If: (i) any prize or prize notification is returned as undeliverable, (ii) a potential Winner declines his or her prize or (iii) a potential Winner fails to comply with any of the Official Rules as outlined herein, such potential Winner will be disqualified and an alternate winner will be determined at the Sponsor's sole discretion. The Contest Entities expressly disclaim any responsibility and entrants agree to indemnify and hold harmless the Contest Entities and their respective employees, officers, directors, shareholders and agents, from and against any and all claims, actions, demands and/or liability for injury, damage or loss whatsoever relating to or arising in connection with participation in this Contest (regardless of the cause of such injury, damage or loss) and/or the delivery and/or subsequent use or misuse of any of the prizes awarded. In the event more winner notifications are issued, or more winning prize claims are received, than the number of prizes set forth in these Official Rules due to computer, printing, seeding, human, or other error or problem, a random drawing will take place from among all eligible prize claims for the prize(s) at issue to award the proper number of prizes as set forth in these Official Rules. No more than the stated number of prizes per these Official Rules will be awarded.
